Important Notice for Healthcare Providers

These terms apply to licensed healthcare providers and clinics subscribing to OperIQ's AI-powered appointment scheduling services. As a healthcare provider, you remain solely responsible for all clinical decisions, patient care, and compliance with healthcare regulations.

1. Acceptance of Terms

By accessing or using the OperIQ web application or any related services (the "Services"), you ("User" or "Healthcare Provider") agree to be bound by these Terms of Service and by our Privacy Policy. If you do not accept all terms, you must not use the Services.

2. Scope & Intended Use

OperIQ is an AI-powered appointment scheduling tool intended to assist—but not replace—the independent clinical judgment of regulated healthcare professionals. The OperIQ system automates scheduling processes but does not provide medical advice or diagnoses. Healthcare providers remain solely responsible for reviewing all patient interactions, verifying booking accuracy, and determining appropriate medical care protocols.

3. Account Security & Eligibility

Users must safeguard login credentials and are liable for all activity under their accounts, including activity by authorized staff. Our Services are intended for licensed healthcare providers and clinics operating in Canada. You must maintain valid professional licensing throughout your subscription period.

We grant you a limited, non-exclusive, non-transferable right to access the Services during your subscription. You may not:

OperIQ targets 99% monthly uptime; a report and remediation plan will be provided if this target is missed. Setup and onboarding is completed within 48 hours. Email support is available via support@operiq.ai during business hours (09:00–17:00 ET, Monday–Friday). Initial response goals:

We may suspend access for maintenance, security emergencies, or if you breach these Terms. You must accept all patches and updates to maintain security and functionality. Planned maintenance will be communicated in advance when possible.

8. Fees & Payment

No Clinic Fees - Patient Convenience Fee Model

There are no fees charged to healthcare providers or clinics for using OperIQ services. Instead, OperIQ may charge patients a convenience fee directly for using the booking system.

As a healthcare provider, you may be required to provide alternative means for patients to book appointments at no cost, in accordance with applicable laws and regulations.

10. Intellectual Property Rights

OperIQ and its licensors retain all IP rights in the Services; only the limited license above is granted. Suggestions or feedback you provide may be used by OperIQ without restriction, and related IP rights are assigned to OperIQ.

You retain ownership of your patient data but grant OperIQ a worldwide, royalty-free right to process it to operate and improve the Services. Aggregated or de-identified data may be used for analytics and service improvement. All data processing complies with applicable privacy legislation.

12. No Warranties

The Services are provided "as is" and "as available," without any express or implied warranties, including merchantability, non-infringement, or fitness for a particular purpose. OperIQ does not warrant that the Services will meet your specific clinical needs or be error-free.

OperIQ's booking system is provided "as is" without warranties. We are not liable for any issues related to:

Subscriptions are perpetual until either party terminates the subscription. Either party may terminate the subscription at any time with written notice. It may take up to 7 days to deactivate a subscription upon notification. OperIQ may terminate immediately for material breach after 30 days' notice. Upon termination:

OperIQ may use your name and logo in public marketing to identify you as a customer; reciprocally, you may identify OperIQ as your service provider. Either party may opt out of this arrangement with written notice.

Each party must protect the other's confidential information and may disclose it only to personnel or advisers with a need to know, or as required by law. Patient information remains subject to healthcare confidentiality requirements.

18. Compliance & Regulatory Requirements

You are responsible for ensuring your use of OperIQ complies with all applicable healthcare regulations, including but not limited to provincial health information privacy laws, professional college requirements, and clinic policies.

19. Governing Law

These Terms are governed by the laws of the Province of Ontario, Canada, and you consent to the exclusive jurisdiction of the courts of Ottawa, Ontario.

20. Changes to Terms

We may update these Terms from time to time. Material changes will be posted on this page or communicated via the Services. Continued use after the effective date constitutes acceptance.
